Agreement. This is a legally binding agreement between you and SYSTEMGRUPPE LLC. These are the terms, conditions, provisions, limitations and exclusions (the “Terms”) governing your use of the website systemgruppe.zone (the “Site”), and the agreement that operates between you and SYSTEMGRUPPE LLC. You accessing or using the Site signifies your consent to these Terms, and agreement to be bound to them. Should you howsoever become unable or unwilling to abide by these Terms, you shall ipso facto forthwith cease and desist use of the Site. These Terms apply to every person and entity that uses the Site.
Content. (the “Content”) of the Site includes without limitation the pages, information, material, documents, text, graphics, images, logos, meta http-equivalent, scripts and computer code accessed by the universal resource locator (the “URL”) systemgruppe.zone.

License. SYSTEMGRUPPE LLC grants you non-exclusive license to use the Site, in accordance with the Terms hereof, in the normal course, to download the Site to the extent that doing so is required to view it, and to view it. You may print, copy and otherwise reproduce the Site, as published, provided you do so without charge, and that you credit the Site and SYSTEMGRUPPE LLC. You are specifically prohibited from reproducing the Site or its components in the context of a commercial sale. This license does not grant you permission to archive the Site in such a manner it can be later retrieved.
Policies. SYSTEMGRUPPE LLC may stipulate policies, directives, codes and rules (the “Policies”) that govern your use of the Site, and those Policies are deemed to be incorporated hereto, regardless of when they are stipulated, formulated, published or otherwise enacted.
Links to External Websites. The Site may contain hypertext links to third-party websites or services that are neither owned, operated or controlled by SYSTEMGRUPPE LLC. You understand that SYSTEMGRUPPE LLC has no control over, and assumes no responsibility for, the content, privacy policies or practices of any third-party website or service. You acknowledge and agree that SYSTEMGRUPPE LLC shall not be in any way responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused, by or in connection with the use of or reliance on any such website or service, goods or services available on or through any such website or service. You specifically acknowledge and understand that SYSTEMGRUPPE LLC has strongly advised you to exercise extreme caution when using the internet.
Suspension and Termination. SYSTEMGRUPPE LLC reserves the right to suspend or terminate your access to the Site for any reason, or for none, without prior notice or liability. Should your access to the Site be suspended or terminated, you shall ipso facto forthwith cease and desist use of the Site. SYSTEMGRUPPE LLC reserves the right to modify, suspend or outright cancel the Site at its sole option and discretion, without notice.
Limitation of Liability. Notwithstanding any damages that you might incur howsoever connecting to your use of the Site, the entire liability of SYSTEMGRUPPE LLC, and its suppliers and inputs, and your exclusive and sole remedy for all of the foregoing shall be limited to one dollar ($1.00 USD). TO THE MAXIMUM EXTENT PERMITTED BY LAW, in no event shall SYSTEMGRUPPE LLC or its suppliers or inputs be liable for any special, incidental, or consequential damages whatsoever (without limitation including damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Site, third-party software and/or third-party hardware used with the Site, or otherwise in connection with any provision of these Terms), even if SYSTEMGRUPPE LLC or any supplier or any input has been advised of the possibility of such damages and even if the remedy fails of its essential purpose. Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.
Disclaimer. The Site is provided “as is, where is” and with all faults and defects, without warranty. TO THE MAXIMUM EXTEND PERMITTED by law, SYSTEMGRUPPE LLC, on its own behalf and on behalf of its agents, suppliers and other inputs, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Site, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, SYSTEMGRUPPE LLC provides no warranty or undertaking, and makes no representation of any kind that the Site will meet your expectations, requirements or specifications, achieve any intended results, be compatible or work with any software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected. Without limiting the foregoing, neither SYSTEMGRUPPE LLC nor any of its agents, suppliers or inputs make any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Site, or the information, content, and materials or products published thereon; (ii) that the Site will be uninterrupted or error-free or omission-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Site; or (iv) that the Site, its technologies, its servers, the content, or e-mails sent from or on behalf of SYSTEMGRUPPE LLC are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components. Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you; however, in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
Amendments. SYSTEMGRUPPE LLC may, at its sole option and discretion, amend these Terms to its sole satisfaction at any time, without notice or consideration. SYSTEMGRUPPE LLC may enter into subsequent agreements that, when made in writing and make specific reference hereto, supersede these Terms, in whole or in part, and these agreements do not impact other parties hereto bound.
Jurisdiction. This agreement is and shall be governed by the laws of the State of Hawaii, in the United States of America. You irrevocably agree to attorn to the judiciary of the State of Hawaii at Honlulu. Should a dispute arise from this agreement, or your use of the Site, you agree to first attempt to resolve your dispute informally by contacting SYSTEMGRUPPE LLC. Second, you agree to mediation. Third, you agree to arbitration. Your use of the Site may also be subject to other local, state, national or international laws. If you are situated in the European Union, you may benefit from the mandatory provisions of the law of the country in which you are situated.
Severability and Interpretation. Words hereto importing the masculine gender shall include the feminine and neuter genders, and vice-versa. Words hereto importing the singular shall include the plural, and vice-versa. In any case where this agreement, the Terms or the Site have been translated, interpreted or otherwise represented in a language other than the English language, the English language version shall prevail. Words capitalized, punctuated, or styled in a particular way shall include words of the same meaning without capitalization, punctuation, or styling. Titles and headings are for reference purpose and do not constitute part of this agreement. Should any part hereof be deemed void, invalid or unenforceable, that part shall be deemed severable and severed leaving the remaining parts, valid and enforceable.
U.S. Embargo, Anti-Terrorism. You irrevocably certify, represent and warrant that (i) you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) you are not listed on any United States government list of prohibited or restricted parties.
